Experience:

Jeff has extensive experience in representing various IPO candidates and public listed companies in capital raisings and other corporate exercises on the Singapore Exchange and Bursa Securities Malaysia, including IPOs, Rights Issues and Bonds Issues. Jeff also has experience acting in domestic and cross-border merger and acquisition transactions, joint ventures, venture capital investment and foreign investment transactions in Malaysia, Singapore, Hong Kong, China, Australia, Indonesia, Sri Lanka, Thailand and Vietnam.

Jeff was involved in establishing industry standards and best practices for due diligence in respect of Submissions to the Securities Commission under the Securities Commission Act in Malaysia. Jeff is regularly requested to undertake legal due diligence work in mergers and acquisitions, investment and securities offerings by both foreign investors and domestic companies.

Notable transactions include:-

  • Corporate Restructuring and IPO of a freight forwarding company on the SGX
  • Rights Issue with Warrants of a freight forwarding company listed on the SGX
  • Merger & Acquisition of a freight forwarding company listed on the Hong Kong Stock Exchange on behalf of a SGX listed company
  • Secondary Listing on the SGX of a Hong Kong listed Bermuda company engaged in ceramics business
  • Corporate restructuring of one of the largest shipping fleets in the world
  • Acting for a bidder for the S$8 billion worth of shares listed on CLOB, Singapore
  • Joint Venture between a Malaysian listed company and an Indonesian party for payment software systems for the Singapore and Indonesian market
  • Acting for a Malaysian public listed company in the acquisition of a Singapore Oil and Gas related company with a Vietnamese subsidiary
  • Acting as Malaysian Counsel and participating in prospectus drafting, due diligence and verification of numerous Malaysian companies listing on the SGX, including the Proposed S$1.65 billion IPO of a Malaysian Real Estate Developer and the Proposed S$1.5 billion IPO of a Malaysian owned Dry Bulk Shipping Group in 2004/2005
